TERMS OF SERVICE AND PRIVACY POLICY 

Effective Date: January 1, 2025 

This website is operated by Innate Potential Group, LLC, a Delaware limited liability company, doing business as Profit First Chiro ("Company," "we," "us," "our"). Practice Wellness Score ("Product") is a proprietary product offered by the Company. Throughout this document, the terms "we", "us", "our" refer to Innate Potential Group, LLC DBA Profit First Chiro, and "Practice Wellness Score" may be used interchangeably to refer to the product and related services provided by the Company. 

By accessing this website, including all information, tools, and services available herein (collectively, the "Services"), you, the user, agree to be bound by the following terms and conditions ("Terms of Service," "Terms"), including all additional terms, policies, and conditions referenced herein or available by hyperlink. These Terms of Service apply to all users of the site, including but not limited to visitors, browsers, vendors, customers, merchants, and contributors of content. 

By visiting our site and/or purchasing something from us, you engage in our Service and agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions in this agreement, you may not access the website or use any Services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms. 

Any new features or tools added to the current website, including but not limited to updates, enhancements, or additional functionalities, shall also be subject to these Terms of Service. We reserve the right to update, change, or replace any part of these Terms by posting revisions on our website. It is your responsibility to review this page periodically for any changes. Your continued use of or access to the website after any modifications are posted constitutes your acceptance of those changes. 

ACQUIRING THE SERVICE 

To gain access to Practice Wellness Score (the "Service"), the Customer must complete an applicable Order Form or purchase a subscription through our website checkout (collectively the “Order Form”) and make the required payment. All Order Form(s) must be submitted on behalf of a legally recognized business entity. The individual completing the Order Form will be designated as the sole administrator of the account. By completing an Order Form on behalf of an entity, the individual represents and warrants that they have the legal authority to enter into and bind the entity and its affiliates to the terms and conditions of this Agreement. In such cases, the term "Customer" shall refer to the entity and its affiliates. If the individual completing the Order Form lacks the necessary authority or disagrees with the terms set forth, they must refrain from completing the Order Form and are prohibited from using the Service. 

PROVISION OF THE SERVICE AND AVAILABILITY 

Innate Potential Group, LLC DBA Profit First Chiro agrees to make Practice Wellness Score available to the Customer within two (2) business days, excluding company-observed holidays and posted company closures, following the submission of the Order Form or other ordering document. The availability of the Service will be maintained throughout the applicable subscription Term as specified in this Agreement. Upon successful payment, as applicable, the Service will be accessible to the Customer. 

ACCESS RIGHTS 

Innate Potential Group, LLC DBA Profit First Chiro grants Customer and its End Users a non-exclusive, non-sublicensable, non-transferable right to access and use the Service during the applicable Subscription Term, in accordance with this Agreement and the Service documentation, solely for Customer's internal business purposes as specified in the applicable Order Form or other ordering document. The access and use of the Service shall be subject to planned or unplanned downtime for maintenance and upgrades, which will be communicated in advance whenever possible. However, Innate Potential Group, LLC DBA Profit First Chiro reserves the right, at its sole discretion, to delete, modify, or amend the Service, either in part or in whole, at any time and for any reason, without notice. Nonetheless, the Company will endeavor to provide advance notice whenever possible. 

FREE TRIAL AND FREE SERVICE 

Free Trial 

If the Customer registers for a free trial through the applicable Order Form(s), Innate Potential Group, LLC DBA Profit First Chiro will provide the Customer with access to the relevant Service(s) on a trial basis, in accordance with section Access Rights of this Agreement, free of charge until the earliest of the following: 

  • (A) The end of the free trial period specified in the Customer's registration. 

  • (B) The commencement date of any purchased Service subscriptions ordered by the Customer for the same Service(s). 

  • (C) Termination by Innate Potential Group, LLC DBA Profit First Chiro at its sole discretion. 

  • (D) Termination or cancellation of the service by the Customer in accordance with this Agreement. 

PLEASE NOTE: ANY DATA ENTERED INTO THE SERVICES AND ANY CUSTOMIZATIONS MADE DURING THE CUSTOMER'S FREE TRIAL WILL BE PERMANENTLY LOST UNLESS THE CUSTOMER PURCHASES A SUBSCRIPTION TO THE SAME SERVICES COVERED BY THE TRIAL, ACQUIRES THE APPLICABLE UPGRADED SERVICES, OR EXPORTS SUCH DATA BEFORE THE TRIAL PERIOD CONCLUDES. THE CUSTOMER CANNOT TRANSFER DATA ENTERED OR CUSTOMIZATIONS MADE DURING THE FREE TRIAL TO A SERVICE THAT WOULD REPRESENT A DOWNGRADE FROM THE ONE COVERED BY THE TRIAL. 

Free Service 

Innate Potential Group, LLC DBA Profit First Chiro may provide certain Services to the Customer free of charge. The use of these free Services is governed by the terms and conditions outlined in this Agreement. However, Innate Potential Group, LLC DBA Profit First Chiro reserves the right, at its sole discretion, to discontinue or cease offering the free Services at any time, with or without prior notice. 

FORWARD-LOOKING STATEMENT 

Customer acknowledges and agrees that the acquisition, purchase, and use of the Service are solely based on the features and functionality that exist at the time of acquisition, purchase, and use. Customer understands that any decision to acquire, purchase, or use the Service is independent of any future functionality or features that may be developed or released by Innate Potential Group, LLC DBA Profit First Chiro or its affiliates. Customer acknowledges that no oral or written comments made by Innate Potential Group, LLC DBA Profit First Chiro or its affiliates regarding the potential release of future functionality or features have any binding effect on the current acquisition, purchase, and use of the Service. 

Payment 

Subscription 

Innate Potential Group, LLC DBA Profit First Chiro provides the Practice Wellness Score Service as an automatically recurring subscription. The terms, quantities, duration, features, functionality, and price of the Service being acquired (collectively referred to as the "Subscription") are determined by the applicable Order Form at the time of completion. Unless otherwise stated in any applicable Order Form(s), all fees are determined based on the Services purchased and not the Customer's usage of the Service. The Company reserves the right to make changes to a subscription at any time with or without prior notice. 

Payment 

For the Service provided under this Agreement, the Customer agrees to pay the Company the fees in the amounts and on the due date(s) set forth in the applicable Order Form(s). It is the responsibility of the Customer to provide and maintain complete and accurate billing information with the Company. By agreeing to this, the Customer acknowledges and authorizes the Company to retain Customer payment information to facilitate the processing of recurring fees, in accordance with any applicable Order Form(s). All fees are quoted and payable in United States Dollars ("USD," "$"). 

Auto-Renewal 

Customer agrees that the subscription will automatically renew based on the terms set forth in the applicable Order Form(s) at the then-posted rates (the "Renewal Date"). Unless the subscription has been terminated or canceled in accordance with this Agreement prior to the renewal date, the Customer authorizes the Company to automatically charge the Customer for applicable fees on or after the renewal date. 

Failed or Missing Payments 

If the Customer's provided payment information is no longer accurate or is unable to be charged, the Company will notify the Customer via email regarding the missing or inaccurate payment information. If payment is not received within five (5) business days of either (i) the due date of any applicable Order Form(s) or (ii) the date notice was given, access and use rights of the Service by the Customer and/or Customer's End Users will be suspended. Access and use of the Service will be reinstated once all outstanding balances then due and owing are paid in full, or in accordance with any mutually agreed-upon written payment schedule. Failure to pay outstanding balances for thirty (30) days will result in termination of access to and use of the Service for the Customer and End Users. Requests for reactivation of the Service after termination due to non-payment will be handled on a case-by-case basis, and reactivation is not guaranteed. 

Cancellation 

The Customer must cancel its Subscription or applicable Order Form(s) before the Renewal Date of any applicable Order Form(s) to avoid billing for the next subscription period. The Customer can cancel its Subscription at any time by submitting a cancellation ticket through the Company's Help Portal or by emailing support@profitfirstchiro.com with the cancellation request. If the Customer chooses to cancel its Subscription during the Subscription Term, the Customer may continue to use the Service until the end of the then-current Subscription Term or renewal period but will not receive a refund for the most recently charged fees or any previously charged fees. 

Refunds 

Except where required by applicable consumer protection laws, the Company does not offer refunds for Services under any circumstances. If the Customer’s subscription is canceled or terminated, they will continue to have access to the Service until the end of their original subscription term, but no refunds will be issued for any unused portion. 

Changes in Pricing 

The Company reserves the right, at its sole discretion, to change, modify, or alter the Subscription Fee and/or Service pricing (referred to as "Pricing") at any time with or without prior notice. Pricing changes will be effective immediately. Pricing changes occurring during a Customer's current billing cycle will take effect in the Customer's next billing cycle. 

Taxes 

The Company's fees do not include any taxes, levies, duties, or similar governmental assessments of any nature, including, for example, value-added, sales, use, or withholding taxes, imposed by any jurisdiction whatsoever ("Taxes"). The Customer is responsible for paying all taxes associated with its purchases. If the Company has a legal obligation to pay or collect Taxes for which the Customer is responsible under this section, the Company will invoice the Customer, and the Customer will pay that amount unless the Customer provides the Company with a valid tax exemption certificate authorized by the appropriate taxing authority. It is clarified that the Company is solely responsible for taxes assessable against itself based on its income, property, and employees. 

Data Retention 

Innate Potential Group, LLC DBA Profit First Chiro will store Customer data for a minimum of thirty (30) days in a non-archived manner following the voluntary or involuntary termination of the Service. After thirty (30) days, the Company may transfer all or a portion of the Customer data to long-term archival storage, which may render the data inaccessible through the Services. Innate Potential Group, LLC DBA Profit First Chiro reserves the right to destroy, delete, clear, or dispose of any and all Customer data after ninety (90) days from the date of voluntary or involuntary termination of the Service, although it is not obligated to do so. Customers acknowledge and agree that Customer data may not be accessible or recoverable by either the Customer or Innate Potential Group, LLC DBA Profit First Chiro after ninety (90) days from the voluntary or involuntary termination of the Service. This policy is subject to applicable data protection laws, including but not limited to GDPR and CCPA, where applicable. 

Training, Technical Support, and Customer Service 

During the subscription term, Innate Potential Group, LLC DBA Profit First Chiro is committed to providing Customer Service and technical support to the Customer and its authorized End Users. These services are designed to assist with any inquiries or issues that may arise. The scope of Customer Service includes, but is not limited to, Standard Technical Support, Product and Service Training, Account Provisioning, and Onboard Training through our self-service online support portal and online help forum. Customers may open a support ticket through the support portal for email-based support. 

Innate Potential Group, LLC DBA Profit First Chiro's Customer Service operates during the following hours, unless otherwise specified in the applicable Order Form(s): Monday through Friday, from 9 AM to 6 PM Eastern Time (Greenwich Mean Time (GMT) minus five (GMT-5)). The Online Self-Service Support Portal is accessible 24/7 throughout the Customer's subscription term, as stated in the Order Form. 

Updates 

Innate Potential Group, LLC DBA Profit First Chiro, at its sole discretion, may periodically develop and release updates for the Service. These updates may include upgrades, bug fixes, patches, error corrections, new features, and functionality (collectively referred to as "Updates"), along with any accompanying documentation. Please note that Updates may also involve modifications or removal of certain features and functionality. Innate Potential Group, LLC DBA Profit First Chiro is under no obligation to provide Updates or maintain specific features or functionality. 

As a Customer, you will receive Updates automatically without the need for any manual actions on your part. The Service will be updated seamlessly once the Updates have been released. 

Downtime 

Innate Potential Group, LLC DBA Profit First Chiro acknowledges that there may be instances when the Service needs to undergo updates, resulting in temporary unavailability. We strive to provide advance notice of scheduled downtime through email communication. Additionally, we make every effort to schedule maintenance during periods of limited Service usage to minimize disruption. However, there may be situations where advanced notice is not feasible, and Innate Potential Group, LLC DBA Profit First Chiro reserves the right, at its sole discretion and without notice, to initiate Service downtime for routine or emergency maintenance, updates, upgrades, or repairs. 

Please note that Innate Potential Group, LLC DBA Profit First Chiro cannot be held financially responsible for any direct or indirect losses, including data loss, interruption of Services, or revenue loss caused by Service downtime, whether scheduled or unscheduled. 

Termination for Cause 

Either party may terminate this Agreement and any Order Form under this Agreement under the following circumstances: 
 
(a) Upon thirty (30) days' written notice if the other party is in material breach of this Agreement and fails to remedy the breach within the notice period. However, if there is a breach of Acceptable Use Terms, termination will take effect upon receipt of notice; or 
 
(b) If the other party ceases its business operations or becomes subject to insolvency proceedings, and the proceedings are not dismissed within sixty (60) days. 

Effect of Termination 

Upon the expiration, cancellation, or termination of this Agreement for any reason, all Subscriptions and other rights granted to the Customer under this Agreement shall immediately terminate. The Customer shall cease all use of the Service and shall not attempt to circumvent any security measures designed to prevent access to the Service. If either party terminates the Agreement pursuant to Termination for Cause, Innate Potential Group, LLC DBA Profit First Chiro shall refund to the Customer a prorated amount of prepaid, unused fees applicable to the remaining portion of the Subscription Term from the effective date of termination. However, termination shall not relieve the Customer of the obligation to pay any fees accrued or payable to the Company for the Service prior to the effective date of termination. Any terms that, by their nature, extend beyond the termination of the Agreement shall remain in effect until fulfilled and shall apply to successors and assignees. 

Dispute Resolution and Governing Law 

Informal Resolution 

In the event of any controversy or claim arising out of or relating to this Agreement, the parties agree to first attempt to resolve the dispute through good-faith negotiations. The parties will consult and negotiate with each other and, recognizing their mutual interests, attempt to reach a solution satisfactory to both parties. 
 

If the parties do not reach a settlement within sixty (60) days, either party may pursue relief as available under these Terms pursuant to the governing law and venue provisions below. 

All negotiations pursuant to this section will be confidential and treated as compromise and settlement negotiations for purposes of all rules and codes of evidence of applicable legislation and jurisdictions. 

Binding Arbitration 

If a dispute cannot be resolved through informal negotiation, the parties agree that any claim, dispute, or controversy arising out of or relating to this Agreement, including its formation, interpretation, breach, performance, termination, or validity, shall be resolved exclusively by binding arbitration rather than in court, except for claims that qualify for small claims court. 
 

Arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA) and held in Delaware, United States, unless the parties mutually agree to a different venue. The arbitration shall be conducted by a single arbitrator, and the arbitration award shall be final and binding on the parties and may be enforced in any court of competent jurisdiction. 
 

By agreeing to arbitration, both parties waive the right to a jury trial or to participate in a class action lawsuit. 

Class Action Waiver 

The parties agree that all claims must be brought on an individual basis, and not as a plaintiff or class member in any purported class, collective, or representative action. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding. 

Exceptions to Arbitration 

Notwithstanding the foregoing, either party may seek: 


  • Injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights. 

  • Claims that qualify for small claims court in a jurisdiction that permits such claims. 

License to Use Customer Feedback 

Customer grants Innate Potential Group, LLC DBA Profit First Chiro and its affiliates a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate into the Service any feedback provided by the Customer or End Users, including suggestions, enhancement requests, recommendations, corrections, or other feedback related to the operation and performance of the Service. 

License and Agreement by Customer to Be a Reference 

Upon being satisfied with the Services and Content after 90 days, the Customer agrees to provide a positive statement, either in written or video format, including the company name, about their experience. The Customer further agrees to allow the use of their positive statement, case study, and company name on the Practice Wellness Score website and other marketing materials for promotional purposes. The Customer grants Innate Potential Group, LLC DBA Profit First Chiro a worldwide, perpetual, royalty-free license to use and incorporate such statements and case studies for marketing and promotional activities. The Customer retains the right to revoke Innate Potential Group, LLC DBA Profit First Chiro’s right to use their name in connection with their positive statement or case study if they become dissatisfied with the Services. 

Modifications to the Service and Pricing 

Innate Potential Group, LLC, doing business as Profit First Chiro (“Company,” “we,” “us,” or “our”), reserves the right, at its sole discretion, to: 
 

  1. Service Modifications: Modify, update, or alter any aspect of the Service, including but not limited to features, functionalities, content, or offerings, with or without prior notice. 
     

  1. Discontinuation: Suspend, discontinue, or remove any part of the Service, including any products, features, or content, at any time, with or without prior notice. 
     

  1. Pricing Adjustments: Adjust the pricing of any product or service at any time, at our sole discretion, without obligation to provide prior notice. 
     

We shall not be liable to you or any third party for: 
 

  • Any modifications, price changes, suspension, or discontinuation of the Service; or 
     

  • Any direct, indirect, incidental, special, consequential, or punitive damages arising from such changes. 

It is your responsibility to review any updates or modifications to the Service. Your continued use of the Service following the posting of any changes constitutes your acceptance of such modifications. If you do not agree to any changes, you must discontinue use of the Service immediately. 

PRODUCT REPRESENTATION AND AVAILABILITY 

Product Descriptions and Accuracy 

Innate Potential Group, LLC, doing business as Profit First Chiro (“Company,” “we,” “us,” or “our”), makes every effort to provide accurate, current, and complete product descriptions, images, and specifications. However, we do not warrant that any product descriptions, images, or other content provided on our website are free from errors, omissions, or inaccuracies. 

You acknowledge that: 
 

  • The colors, dimensions, and details of products displayed on your screen may vary due to differences in monitor settings, display technology, or device configurations. 
     

  • Product descriptions and images are provided for informational purposes only and do not constitute a guarantee of the exact appearance, functionality, or suitability of any product or service. 
     

We reserve the right to correct any errors, inaccuracies, or omissions and to update or change product information at any time without prior notice. 

Sales Restrictions and Availability 

We reserve the right, at our sole discretion, to: 
 

  1. Restrict Sales: Limit the sale of our products or services to any individual, geographic region, or jurisdiction. Such restrictions may be imposed on a case-by-case basis. 
     

  1. Quantity Limits: Limit the quantities of any products or services available for purchase. 
     

  1. Discontinuation: Discontinue or modify any product or service at any time without prior notice. 
     

  1. Price and Availability Changes: Adjust product descriptions, pricing, and availability at any time, at our sole discretion, without obligation to provide prior notice. 
     

Any offer for a product or service made on this website is void where prohibited by law. 

No Warranty on Product Quality 

Innate Potential Group, LLC, doing business as Profit First Chiro (“Company,” “we,” “us,” or “our”), makes no express or implied warranties regarding the quality, reliability, performance, or suitability of any products or services offered. Specifically, we do not warrant or guarantee that: 
 

  • Any product, service, or material purchased or obtained will meet your expectations; or 
     

  • Any errors, defects, or inaccuracies in the Service will be corrected. 
     

To the fullest extent permitted by applicable law, all products and services are provided on an “as is” and “as available” basis, without any warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 
 

We expressly disclaim any liability for damages arising from reliance on any information, materials, or services provided. Your use of the Service and any products obtained through it is at your sole risk. 

Accuracy of Billing and Account Information 

To ensure transaction integrity and prevent fraudulent activity, Innate Potential Group, LLC, doing business as Profit First Chiro (“Company,” “we,” “us,” or “our”) reserves the right, at its sole discretion, to refuse, limit, or cancel any order placed through our Services. 

Order Restrictions 

We may impose purchase restrictions, including but not limited to: 
 

  • The number of items purchased per individual customer. 

  • The number of items purchased per household. 

  • The number of items purchased per order. 
     

These limitations may apply to orders placed under: 
 

  • The same customer account. 

  • The same credit card. 

  • Orders using the same billing and/or shipping address. 
     

If we modify or cancel an order, we will attempt to notify you using the email address, billing address, or phone number provided at the time of purchase. 

Customer Obligations 

To maintain accurate billing records, you agree to provide and keep complete, current, and accurate purchase and account information, including but not limited to: 

  • A valid email address. 

  • Accurate billing and shipping addresses. 

  • Updated payment details, including credit card information and expiration dates. 

Failure to provide accurate and complete information may result in order delays, cancellations, or suspension of account privileges. 

 

Order Modifications and Cancellations 

Innate Potential Group, LLC, doing business as Profit First Chiro (“Company,” “we,” “us,” or “our”) reserves the right, at its sole discretion, to modify or cancel any order placed through our Services. If an order is modified or canceled, we will make reasonable efforts to notify you using the email address, billing address, or phone number provided at the time of purchase. 

Order Limitations and Restrictions 
 

We reserve the right to limit or prohibit orders that, in our sole judgment: 
 

  • Appear to be placed by dealers, resellers, or distributors; or 
     

  • Indicate fraudulent activity, unauthorized use, or potential violations of these Terms. 
     

If an order is restricted or canceled, we are under no obligation to fulfill the order and may, where applicable, issue a refund at our sole discretion. 

User Responsibilities 

To ensure smooth order processing and prevent disruptions, you agree to: 
 

  1. Provide and maintain current, complete, and accurate purchase and account information for all transactions. 
     

  1. Promptly update your account and payment details, including but not limited to: 
     

  • A valid email address. 
     

  • Accurate billing and shipping information. 
     

  • Updated credit card numbers and expiration dates. 
     

Failure to provide or maintain accurate account information may result in order delays, cancellations, or suspension of purchasing privileges. 

Optional Third-Party Tools 

Innate Potential Group, LLC, doing business as Profit First Chiro (“Company,” “we,” “us,” or “our”) may provide access to third-party tools through the Service. These tools are offered solely for convenience, and we do not own, monitor, control, or influence their functionality, security, or reliability. 
 

By choosing to use such third-party tools, you acknowledge and agree that: 
 

  • The tools are provided “as is” and “as available” without any warranties, representations, or conditions of any kind, express or implied. 

  • We do not endorse, warrant, or assume responsibility for any third-party tools, nor do we make any guarantees regarding their operation, performance, or availability. 
     

  • We shall not be liable for any errors, defects, malfunctions, security vulnerabilities, damages, or losses arising from or related to your use of third-party tools. 

User Responsibilities for Third-Party Tools 

By using third-party tools, you agree that: 


  • Your use of such tools is entirely at your own risk and discretion. 
     

  • You are solely responsible for reviewing, understanding, and agreeing to the applicable terms and conditions set forth by the third-party provider(s). 
     

  • Any issues, disputes, or concerns regarding third-party tools must be addressed directly with the respective provider, as we are not responsible for their support, functionality, or terms of use. 
     

If you do not agree to the risks associated with third-party tools, you must refrain from using them. 

Future Tools, Features, and Third-Party Integrations 

Innate Potential Group, LLC, doing business as Profit First Chiro (“Company,” “we,” “us,” or “our”) may, at its sole discretion, introduce new services, features, tools, or third-party integrations through the Service. Any such additions will be governed by these Terms of Service as well as any additional terms and conditions specified at the time of release. 

By using any newly introduced features, tools, or integrations, you acknowledge and agree that: 


  • Your use of such additions is subject to these Terms of Service and any applicable supplemental terms. 
     

  • We reserve the right to modify, update, or discontinue any newly introduced services, features, or integrations at any time without prior notice. 
     

  • If you do not agree to the terms governing new features, you must immediately discontinue their use. 

Our website and Services may contain links to third-party websites, applications, or content that are not affiliated with, owned by, or controlled by Innate Potential Group, LLC, doing business as Profit First Chiro (“Company,” “we,” “us,” or “our”). These links are provided solely for convenience, and we make no representations or warranties regarding:

  • The materials, products, or services offered by such third parties. 

  • The business practices, guarantees, or policies of third-party entities.
